1. The agreement

These Terms of Service (“Terms”) are an agreement between PixelGR, LLC (“PixelGR,” “we,” “us”) and the business or person using our services (“you”). By ordering, signing a service agreement, or using our software or services, you agree to these Terms and to our Privacy Policy.

If you sign a separate service agreement or order with us, that agreement controls where it differs from these Terms. If you accept on behalf of a business, you confirm you are authorized to bind it. You must be at least 18 years old.

2. Our services

PixelGR provides the GR Suite, a set of software products for websites, including LocalGR.ai, MapsGR.ai, ArticlesGR.ai, MomentumGR.ai, Abliven Shield, Abliven Shield+, and Abliven Access. We also build websites and provide related services. Each product’s features, requirements, and price are described on our Products page and in your order. Most GR Suite products require a WordPress website. MomentumGR.ai does not require a website.

3. Software license

While your subscription is active and paid, we grant you a limited, non-exclusive, non-transferable license to use the GR Suite products you subscribe to on one website per subscription. You may not copy, resell, modify, reverse engineer, or share the software or your license key, or use it on additional sites without an additional subscription. Parts of the software run on our servers, so an active internet connection and a valid license are required.

4. Terms, billing, and taxes

  • Subscription term: subscriptions have a 12-month initial term, billed monthly. After the initial term, they continue month to month until cancelled.
  • Payment: your first month and any onboarding fee are due at signing. Monthly charges then bill automatically to your payment method on file.
  • Onboarding: every product includes onboarding. Any onboarding fee is shown in your order and is due at signing. Onboarding fees are not refundable once onboarding has started.
  • Taxes: sales tax is added where required.
  • Price changes: prices are fixed for your initial term. After that, we will give at least 30 days’ notice by email before any price change.
  • Late payment: if a payment fails, we will notify you and retry. If it remains unpaid, we may suspend the service (see Suspension). A late fee of 1.5% per month applies to balances more than 15 days overdue.
  • Refunds: subscription fees are not refundable once the billing period begins. Onboarding fees are not refundable once onboarding has started.
  • Billing disputes: please contact us first about any charge you question. Most issues are resolved quickly.

5. Chargebacks and disputes

  • Chargebacks: if you file a chargeback with your bank or card issuer, you are responsible for any fees imposed by the payment processor. Filing a chargeback may result in immediate suspension of service.
  • Research fees: if a chargeback requires investigation, we may charge a reasonable research fee to cover the time needed to gather documentation, including logs, records, and proof of service delivery.
  • Unpaid balances: if a chargeback results in an unpaid balance, we may send the balance to collections. You agree to pay reasonable collection costs, attorney fees, and any fees charged by the processor.
  • Account status: accounts that file chargebacks may be permanently closed. If service is restored after a resolved chargeback, all past-due amounts must be paid in full.

6. Cancellation

You can cancel by emailing hello@pixelgr.com from the email address on your account, or by calling us. We will confirm your cancellation in writing.

  • After the initial term: cancellation takes effect at the end of the current monthly billing period. No further charges apply.
  • During the initial term: if you cancel during the initial 12-month term, the remaining months of the initial term are due at the time of cancellation.
  • When service ends: GR Suite features stop working on your site, and we may remove our software from it (see Ownership). Content you own, such as published articles and text added to your pages, stays on your site.

7. Website builds

  • Payment: website builds are billed 50% at signing and 50% on completion, unless your order says otherwise.
  • Scope: we build to the scope in your order. Work outside that scope is quoted separately at our then-current rates before it starts.
  • Your content: we need your text, images, logins, and decisions to finish. Timelines depend on receiving them. If we have not received what we need within 14 days of our request, we may launch the site with the content we have or pause the project.
  • Review and approval: we build on a private staging address and ask you to review the site. If we do not hear back within 5 business days of our request, the site is treated as approved.
  • Launch: we launch once the site is approved and the final payment is made. You are responsible for checking content, prices, and details on your site for accuracy.
  • Platforms: Wix and Shopify sites are built under your own account with that platform, and their fees and terms apply.

8. Remediation hours

Abliven Shield+ customers can buy blocks of remediation hours (“RemPacks”) for hands-on accessibility work. RemPacks are paid in full at purchase. Before work starts, we send you an hours estimate to approve. Hours are drawn down as work is done.

9. What we do not guarantee

Search engines, maps, and AI answer engines are run by other companies, which decide what to show and change their systems often. Our products improve how your site is understood and presented, but we do not guarantee any ranking, position, traffic, citation in an AI answer, number of leads, or sales. Scores and reports in our products are estimates based on what our tools can see at the time they run.

10. Accessibility products

Abliven Shield, Abliven Shield+, and Abliven Access help find and fix accessibility barriers and reduce risk. They do not guarantee that your website complies with the Americans with Disabilities Act, the Web Content Accessibility Guidelines, or any other law or standard, and they do not guarantee that you will not receive a demand letter or lawsuit. Automated tools cannot detect every barrier, and your site changes over time. Abliven Access is a visitor display tool and is not a substitute for fixing your site. Nothing in our products, scores, or reports is legal advice. For legal questions, consult a qualified attorney.

11. AI-generated content and social posting

  • ArticlesGR.ai creates articles with artificial intelligence, based on your website and the topics you give us. You are responsible for reviewing what is published under your business name. We check each article before delivery, but AI can make mistakes.
  • MomentumGR.ai creates and publishes posts to the social media accounts you connect. You authorize us to post on your behalf, and you remain responsible for your accounts and for following each platform’s rules. You can disconnect an account at any time.

Nothing generated by our AI tools should be considered legal advice. For legal questions, consult a qualified attorney.

12. Your content and responsibilities

  • You confirm you own or have permission to use the text, images, logos, and other materials you give us, and that they do not infringe anyone’s rights or break any law.
  • You will not use our services for illegal, fraudulent, hateful, or sexually explicit content, for malware, or for unsolicited bulk email or text messages.
  • You are responsible for keeping your logins secure and for activity under your account.
  • You are responsible for your website’s legal content, such as your own privacy policy and terms.

13. Ownership

  • Your content: the work we create for you, including your website’s design, text, and graphics and the articles we write, is work made for hire and belongs to you once paid in full. To the extent any of it does not qualify as work made for hire, we assign our rights in it to you upon payment in full. Content you give us stays yours.
  • Our software: the GR Suite and every module in it, including LocalGR.ai, MapsGR.ai, ArticlesGR.ai, MomentumGR.ai, Abliven Shield, Abliven Shield+, and Abliven Access, is owned by PixelGR and its affiliates, along with our tools, methods, and source code. Your subscription is a license to use the software (see Software license), not a sale of it.
  • Other platforms: WordPress, themes, plugins, and other platforms on your site belong to their developers and are used under their own licenses.
  • After cancellation or termination: we may remove our code, modules, and platforms from your website. If we no longer have access to your website, you must remove them immediately. Content you own stays on your site.
  • Portfolio: we may show your launched website in our portfolio unless you ask us not to.

14. Third-party services

Our services rely on others, including WordPress, hosting providers, Google, social media platforms, and payment processors. We are not responsible for their outages, policy changes, or decisions, such as a platform limiting an account or a search engine changing its results.

15. Suspension

We may suspend or end service if payment is overdue, if you materially break these Terms, or if your use puts our systems, other customers, or the public at risk. Where we reasonably can, we will tell you first and give you a chance to fix the problem. If an account remains unpaid, licenses are deactivated, not deleted, so service can be restored when the account is brought current.

Restoration: if your account is suspended for non-payment, service can be restored once the balance is paid in full.

16. Warranty and liability

We provide our services with reasonable skill and care. Otherwise, to the extent the law allows, our services are provided “as is” and “as available,” without other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise the services will be uninterrupted or error-free.

To the extent the law allows, PixelGR is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the services is limited to the amount you paid us for the affected service in the 12 months before the claim arose.

17. Indemnification

You agree to defend and hold harmless PixelGR and its owners, employees, and contractors from third-party claims arising from your content, your website, your use of the services in breach of these Terms, or your violation of any law or third-party right.

18. Disputes and governing law

If a dispute arises, contact us first. We will try in good faith to resolve it within 30 days. These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules. Any lawsuit must be brought in the state or federal courts located in Collin County, Texas, and both parties consent to their jurisdiction. Claims must be brought individually, not as part of a class or representative action, to the extent the law allows.

19. Electronic agreement and notices

You agree that clicking to accept, signing electronically, or paying online is your signature, with the same effect as signing on paper, under the Texas Uniform Electronic Transactions Act and the federal E-SIGN Act. We send notices to the email address on your account, and you agree to keep it current. You send notices to hello@pixelgr.com.

20. General terms

  • Changes: we may update these Terms. We will post the new version here and email customers at least 30 days before a material change takes effect. Continuing to use the services after that date means you accept the change.
  • Events beyond control: neither party is responsible for delays caused by events outside its reasonable control, such as outages, natural disasters, or third-party failures.
  • Severability: if any part of these Terms is found unenforceable, the rest remains in effect.
  • Assignment: you may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition, or sale of assets.
  • Entire agreement: these Terms, your order, any signed service agreement, and our Privacy Policy are the entire agreement between us about the services.
